Benefits General Terms and Conditions

Söderberg & Partners Benefits AB (“Söderberg & Partners”), provides a service for benefit management (“Benefits”). Employers purchase Benefits to manage their employees’ benefits. Within Benefits, users have the option to order benefits from suppliers connected to the platform. Söderberg & Partners facilitates payment processing for orders, either by offsetting against a benefit allowance offered by the Employer, through salary deductions for the Employee, or via direct private payment by the Employee. These general terms and conditions (“Terms”) apply to users’ use of Benefits.

1. Definitions

In these Terms, the following defined terms are used with the meanings specified below.

Service Handling of payments and related services to facilitate transactions between an employee and a provider of employee benefits.

Debiting Payment for an order of a service/product or equivalent made by the user from the supplier.

Benefit Account A virtual value deposit through which the employer’s offered benefit allowance is made available to the employee.

Supplier An entity offering a service/product or equivalent for ordering through the Service.

Users Employees of employers who have joined the Service. An employee is considered a user as long as their employer is contractually bound to the Service.

Employer The purchaser of the Service and the employer of the User.

2. Loading of a Benefit Account

User’s Benefit Account is loaded based on instructions from the Employer. The Benefit Account can be used through orders in the Service or via expense reimbursement.

3. Order through the Service

A purchase agreement is entered into between a User and a Supplier, acting as buyer and seller, respectively. Söderberg & Partners is not a party to this relationship, and no claims arising from disputes regarding ordering or debiting can be directed against Söderberg & Partners.

4. Handling of personal data

When a user orders a service/product from a Supplier in the Service, Söderberg & Partners will send an order to the selected Supplier. The order is sent digitally via file, web service, email or another transmission method chosen by the Supplier. The order contains the necessary personal data about the User for the Supplier to be able to deliver the ordered service/product.

5. Safety

Design and storing of passwords etc.
The User is required to follow Söderberg & Partners’ applicable procedures and safety instructions for creating passwords or other security parameters. The User agrees to store passwords and/or other security parameters securely, ensuring the remain inaccessible to unauthorized persons. The password is personal and may not be transferred or used by anyone other than the User.

The User shall promptly notify Söderberg & Partners through benefits@soderbergpartners.se if there is reason to believe that an unauthorized person has access to or knowledge of the password and/or similar information.

Unauthorized use
If the User fails to follow the safety instructions in accordance with section above the User is always responsible for the damage done Söderberg & Partners or the Employer and the charge arising out of any other unauthorized use of User’s account.

Although passwords or other security parameters have been designed according to Söderberg & Partners with the applicable safety instructions, the User is liable for damage to Söderberg & Partners or the Employer and the charge arising out of that user’s user account which has been used without authorization, if the member:

  • a) discloses the password to another,
  • b) through gross negligence contributed to the password coming to someone else’s knowledge, or
  • c) had reason to believe that the password had become known to another party, unless the User, without delay after discovering this, reported the loss to Söderberg & Partners and changed the password or took other security measures in accordance with Söderberg & Partners’ security instructions in force at the time.

6. Operation

The Service is generally available 24 hours a day, seven days a week. However, Söderberg & Partners does not guarantee that the Service will be free from errors or interruptions during this time. Söderberg & Partners has the right to make changes to operational methods, technical specifications, systems, opening hours, etc., related to the Service. Furthermore, Söderberg & Partners always has the right to shut down the Service for maintenance, upgrades, or other similar reasons.

7. Errors in the Service

Information provided in the Service should not be considered as commitments from Söderberg & Partners, the Supplier, or the Employer.

Any inaccuracies in the Service regarding product descriptions, pricing, VAT rates, benefit usage, or other product-related details will be corrected as soon as they are discovered. If an order has been placed for a product containing incorrect information, the order will be deemed invalid, and the purchaser will be notified. If a product or service is out of stock, no longer available for order from the supplier, or cannot be delivered for any other reason, the order will be deemed invalid, and the purchaser will be notified.

8. Responsibility

Payment responsibility
If a User has placed orders in the Service and their Employer is unable to pay, the Supplier may direct claims directly against the User. The same applies if the Employer is declared bankrupt, either by the Supplier or another party, or is otherwise deemed unable to pay.

If a User does not have sufficient salary for the Employer to deduct the cost from, the Employer has the right to invoice the User for the cost, including any handling fees. If the User’s employment has ended and the Supplier still has outstanding claims due to a previously placed order, the Employer has the right to invoice the User for the cost, including any handling fees, regardless of the termination of the employment relationship.

Söderberg & Partners cannot be held responsible for any tax consequences arising for the User or the Employer.

Debiting
Debiting the User’s Benefits Account or through salary deduction is carried out when the User has ordered a service/product or equivalent through the Service.

Reversal of Debiting
A User who, as a purchaser, wishes to request a reversal of a Debiting from the Supplier must:

  • Within one (1) business day from the time of order, submit such a request to Söderberg & Partners, except in cases where the purchaser has already scheduled an appointment with the Supplier/Service or when the product has been delivered or provided within 24 hours of the order. If the right of withdrawal is exercised within one (1) business day, Söderberg & Partners will notify the Supplier that the order is cancelled. The reversal of Debiting is effected by Söderberg & Partner and the Supplier each canceling the order on their respective sides.
  • After one (1) business day from the time of order, submit such a request directly to the Supplier. The Supplier will process the refund to Söderberg & Partners’ client funds account once an agreement is reached between the Supplier and the User. Söderberg & Partners will then return the funds to the User’s Employer and adjust the Benefit Account balance (provided it is still available) or apply a salary adjustment in a payroll transaction file sent to the Employer’s payroll administrator.

Responsibility for fulfillment
The Supplier is solely responsible for fulfilling the orders placed through the Service. Söderberg & Partners can never be held liable for Supplier’s inability to deliver the order to the User.

Defects in service/product or equivalent
The Supplier is solely responsible for any deficiencies in the service, product, or equivalent ordered by the User. No claims can be directed against Söderberg & Partners or the Employer due to defects in the service/product or equivalent.

Söderberg & Partners is not a party to the purchase agreement between the Supplier and the purchaser that arises when an order is placed. Söderberg & Partners provides a system with an associated marketplace that allows Suppliers to offer and sell services and products to the system’s Users. Therefore, neither Söderberg & Partners nor the Employer holds any responsibility for the quality or safety of the ordered services, products, or equivalent.

9. Intellectual property rights

All intellectual property rights and technology solutions related to the Service belong to Söderberg & Partners or third parties with whom Söderberg & Partners collaborates and may not be used by the User or any other party.

10. Notices

Written notices from Söderberg & Partners to the User are sent via email. A notice sent in this manner shall be deemed received by the User no later than the following day.

11. Additions and amendments

Söderberg & Partners has the right to make additions and amendments to these Terms at any time.

12. Disputes and conflicts

Disputes regarding the interpretation and application of these Terms that cannot be resolved through negotiation between the parties shall be settled by a Swedish court in accordance with Swedish law.
